By engaging P Console Media X for any service, you agree to these terms. Please read them carefully before beginning your project.

1. Engagement & Agreement

These Terms & Conditions ("Terms") govern all services provided by P Console Media X ("we", "us", "our") to any client ("you", "the client"). By signing a proposal, making any payment, or commencing work, you agree to be bound by these Terms.

All services are subject to a written or digital proposal agreed upon by both parties before work begins.
Verbal agreements are not binding. All scope changes must be confirmed in writing (email or WhatsApp).
P Console Media X reserves the right to decline any project at its discretion without explanation.
Engaging our services constitutes acceptance of these Terms in full.

2. Payment Terms & Structure

All project fees are structured across clear milestones to protect both parties. The standard payment structure is as follows:

⚡ Continuing After Free Trial / Starter Period

For clients continuing into a paid monthly retainer after a trial or evaluation period, the following applies:

A minimum of 50% of the monthly retainer fee must be paid before work for that month commences.
The remaining 50% is due within 7 days of the month's deliverable completion.
Failure to pay the initial 50% by the agreed date may result in a pause of services with no liability to P Console Media X.
Discounts offered during trial periods do not automatically carry into the full retainer unless confirmed in writing.
Month-to-month retainers require 15 days written notice before cancellation to avoid billing for the next cycle.

Late Payment: Invoices unpaid beyond 7 days of the due date attract a 5% late fee per week. Services will be paused until outstanding amounts are cleared.

3. Refund Policy

We maintain a clear and fair refund policy to protect both parties:

No refunds on advance payments once work has commenced. The 50% kickoff payment covers discovery, planning, and initial effort — which is non-recoverable.
Partial refunds may be considered only if P Console Media X is unable to deliver the agreed scope due to circumstances on our side, assessed on a case-by-case basis.
No refunds for dissatisfaction after client has approved deliverables. Approval — verbal, written, or by continued engagement — constitutes acceptance.
Clients who pause or stop a project mid-way are liable for all work completed to date, billed at the pro-rata rate.
If a client fails to provide necessary content, feedback, or approvals within 14 days, the project may be closed and no refund will be issued.

4. Scope of Work & Revisions

The scope of each project is defined in the approved proposal or service agreement.
Each deliverable includes up to 2 rounds of revisions. Additional revisions are billed at ₹500–₹2,000 per round depending on deliverable type.
Requests that go beyond the original scope (new features, platforms, formats) will be quoted separately as a change order.
Client is responsible for providing all required assets (logos, photos, copy, credentials) within 5 business days of project kickoff.
Delays caused by the client (late feedback, missing content, slow approvals) do not entitle the client to claim compensation or timeline guarantees.

5. Intellectual Property & Ownership

All deliverables (designs, videos, copy, brand assets) remain the property of P Console Media X until full and final payment has been received.
Upon complete payment, full ownership transfers to the client. P Console Media X retains the right to display work in its portfolio unless otherwise agreed in writing.
Client warrants that all content provided to us (images, copy, logos) is legally owned or licensed by the client.
P Console Media X will not be liable for any copyright infringement arising from client-supplied materials.
Tools, templates, and proprietary frameworks used during delivery remain the property of P Console Media X even after handover.

6. Confidentiality

Both parties agree to maintain confidentiality of non-public business information shared during the engagement.

P Console Media X will not disclose your business strategy, pricing, or internal information to third parties.
Clients agree not to share or resell our proprietary processes, frameworks, or strategic documents with competitors or third parties.
Confidentiality obligations survive the termination of any service agreement for a period of 2 years.

7. Termination & Suspension

Either party may terminate the engagement under the following conditions:

Client-initiated termination: 15 days written notice required. All completed work billed and non-refundable.
P Console Media X termination: We may terminate immediately if the client engages in abusive behaviour, requests illegal content, or breaches payment terms.
Monthly retainers: Either party may cancel with 15 days notice before the next billing cycle. Mid-cycle cancellations are not pro-rated.

Zero-Tolerance Policy: P Console Media X reserves the right to immediately terminate any engagement — without refund — if a client requests content that is defamatory, discriminatory, fraudulent, obscene, or in violation of any applicable Indian law.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

P Console Media X is not liable for indirect, incidental, or consequential damages including lost profits, loss of business, or reputational harm.
Our total liability for any claim arising from a project shall not exceed the total amount paid by the client for that specific project.
We do not guarantee specific results (follower counts, leads, revenue) as these depend on numerous external factors beyond our control.
We are not responsible for platform-level changes by Instagram, Meta, YouTube, or Google that affect campaign performance.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of India, specifically applicable legislation in the state of Gujarat.

Any disputes shall first be attempted to be resolved amicably through direct negotiation within 30 days of written notice.
If unresolved, disputes shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996 in Ahmedabad, Gujarat.
The courts of Ahmedabad shall have exclusive jurisdiction for any legal proceedings arising from these Terms.
